License

1. Agreement

This is a legal agreement between you and 01orbital. By purchasing, installing, or using any Item you accept these terms. If you do not accept them, do not install or use the Items.

2. Definitions

Item — a component, block, template, scene, or other source file created by 01orbital and distributed through the registry.

Licensee — the individual or organisation that purchased the license.

End Product — a website, application, or other work you create that incorporates an Item or a derivative of one.

End User — a person who uses your End Product.

Client — an individual or organisation you create an End Product for.

3. License grant and scope

Subject to this agreement, 01orbital grants the Licensee a non-exclusive, non-transferable, perpetual license to use the Items purchased.

Two licenses are offered. They differ only in who may use the Items.

• Individual — one named person.
• Team — up to 15 people employed by or contracted to the Licensee. Access may not be extended to anyone outside that group, and covered people may not use the Items for work outside the Licensee's business.

Updates to purchased Items are included for the life of the product at no further cost.

The free tier of the registry is licensed separately under the MIT License and is not governed by this agreement.

4. Source code

Items are delivered as source code that installs into your repository. You may modify that code freely for use in your End Products. Items depend on third-party open-source libraries that are governed by their own licenses.

5. Permitted uses

You may:

• Create an unlimited number of End Products for yourself, your organisation, or your Clients, including internal tools.
• Create End Products that charge End Users a fee or subscription.
• Sell End Products to Clients.
• Modify the Items and combine them with other work. Derivative works remain subject to this agreement.
• Use the same Item in any number of End Products.

6. Restrictions

You may not:

• Redistribute the Items or derivatives of them as source, as stock, or as part of a tool, template, theme, kit, library, or registry, whether for sale or for free.
• Publish the Items' source code publicly, including in an open-source repository, without written consent.
• Create an End Product that lets End Users build their own products from the Items, such as a site builder or page builder.
• Port the Items to another framework or language and distribute the result.
• Use the Items to train a machine-learning model or tool that generates sites, applications, or components for its users.
• Create a design-tool kit (for example Figma or Sketch) from the Items and distribute it.
• Share license access with anyone the license does not cover.

7. Third-party components

Some Items incorporate work under separate licenses, such as open-source dependencies, fonts, or adapted code. Where that is so it is identified in the Item's source, and that work remains governed by its own license.

8. Refunds

Refunds are governed by the Terms of Use. Because Items are delivered in full when access is granted, refunds are not generally available except where an Item is unusable due to a defect in our code.

9. Termination

01orbital may terminate this license if you breach this agreement. On termination you must stop distributing any End Product that contains the Items until they have been removed. End Products already delivered to a Client before termination are not affected.

10. Ownership

01orbital retains all ownership of and intellectual property rights in the Items. This agreement grants a license only; it does not transfer copyright.

11. No warranty

THE ITEMS ARE PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. You are responsible for testing the Items in your own application before relying on them.

12. Limitation of liability

To the fullest extent permitted by law, 01orbital is not liable for any indirect, incidental, special, consequential, or exemplary damages, including lost profits, lost data, or business interruption, arising from the use of or inability to use the Items, even if advised of the possibility of such damages. Where liability cannot be excluded, it is limited to the amount you paid for the license.

13. Changes

01orbital may revise this agreement and its prices at any time. Revisions are not retroactive: the agreement in force at the time of your purchase continues to govern that purchase.

14. Governing law

This agreement is governed by the laws of the State of Colorado, United States, without regard to its conflict-of-law rules. Any dispute arising out of or relating to this agreement will be brought exclusively in the state or federal courts located in Colorado, and you consent to the jurisdiction of those courts.
